1. Scope
These Terms of Service (the "Terms") apply to use of "SurveyZero" (the "Service"), an online survey platform provided by Jumpei Takiyasu, a sole proprietor based in Japan ("we", "us"). By accessing or using the Service, you are deemed to have agreed to these Terms.
2. Definitions
- Business user: a corporation or other organization, or an individual using the Service as or for a business.
- Consumer user: an individual using the Service other than as or for a business.
- Respondent: a person who answers a survey you create on the Service.
- Your content: the surveys, questions, and materials you create, enter, or upload on the Service, and the response data you collect.
Parts of section 16 (Limitation of liability), section 17 (Indemnification), and section 19 (Governing law and jurisdiction) apply only to business users. For consumer users, the Japanese Consumer Contract Act and other applicable mandatory law prevails over these Terms. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
3. Account registration
You need to create an account to use the Service. You agree to the following.
- To register and maintain accurate, up-to-date information
- To keep authentication methods such as passkeys, magic links, and linked accounts secure, and not to let third parties misuse them
- To be responsible for all activity carried out through your account
- To be 18 or older (accounts on the Service may only be created by people aged 18 or over; whether minors may take part as respondents, and obtaining any consent required for that, is the responsibility of the customer who created the survey)
4. Permitted use
Subject to these Terms, you may use the Service for lawful and appropriate purposes. You are responsible for handling data collected through the Service in accordance with applicable laws and with your own privacy policy.
5. Your responsibilities for respondent data
For surveys you create on the Service, you are the party responsible for the response data (for our role, see section 3 of the Privacy Policy). You are responsible at minimum for:
- Having a lawful basis for collecting respondents' personal data
- Providing respondents with the notices required by applicable law
- Obtaining any necessary consent from respondents
- Setting and operating an appropriate retention period for response data
- Not collecting, through the Service, data whose collection is prohibited by law or that requires special protection (such as special-category personal data, health data, or confidential financial data), unless we have expressly stated that we support that use
The Service does not currently claim conformance with HIPAA, PCI DSS, or any other specific regulatory framework. Do not use it for purposes that involve data regulated under those frameworks.
Where we process, on your behalf, personal data subject to the EU GDPR, the UK GDPR, or other data protection law, our Data Processing Agreement is incorporated into and forms part of these Terms. In case of conflict between these Terms and the DPA in respect of the processing of personal data, the DPA prevails.
6. Prohibited conduct
The following are prohibited.
- Use for purposes that violate law or public order and morals
- Collecting or using personal data without respondent consent or another lawful basis
- Creating or distributing spam, phishing, or fraudulent surveys
- Unauthorized access to, or reverse engineering of, the Service's systems
- Posting content that infringes third-party intellectual property rights
- Interfering with the operation of the Service, or placing an excessive load that impairs its provision
- Reselling or repurposing the Service without our prior written consent
7. Rights in content
Rights in your content belong to you, except where law or third-party rights provide otherwise. We process that data to the extent necessary to provide, maintain, and secure the Service.
Rights in the Service's software, design, trademarks, and similar belong to us or to the respective rights holders.
8. Fees and payment
Monthly fees for paid plans and any applicable usage-based charges are as displayed on the pricing page or other order screens within the Service. Monthly plans are charged through Stripe and renew automatically each month unless cancelled.
Responses beyond the submissions included in your plan may incur usage-based charges, depending on the applicable paid plan and subscription state. Additional AI usage beyond the allowance included in your plan is billed only if you explicitly enable additional usage and set a spend limit. Specific rates and limits are shown on the pricing page and in the settings screens within the Service.
Plan upgrades may take effect immediately; downgrades and cancellations take effect, as a rule, at the end of the current billing period. The specific timing follows what is displayed on the order screen or in the billing portal.
If payment cannot be confirmed, we may, after notifying you by reasonable means, suspend paid features or move your plan to the free plan.
Fees for periods already elapsed are non-refundable except where a refund is required by law. After cancellation, you can continue to use the features of your plan until the end of that billing period.
We may change future prices or the pricing model after giving prior notice by reasonable means. Changed prices apply from the billing period beginning on or after the effective date we notify.
9. AI features
Content generated by the Service's AI features may be inaccurate. You are responsible for reviewing AI-generated surveys, questions, branching conditions, and analyses before publishing or relying on them. The Service keeps publication as a separate, explicit action, so generated content is never published automatically as-is.
Output from AI features is not legal, compliance, medical, financial, or other professional advice. For the external processing involved when you use AI features, see section 6 of thePrivacy Policy.
10. API, MCP, and connected applications
Operations carried out through API keys or MCP keys you issue, and through integrations you authorize (for example via OAuth), are treated as your own operations. Managing those keys, and granting and revoking authorizations, is your responsibility.
We make no warranty regarding the behavior of external AI agents, automation tools, or third-party applications. We are not responsible for the operations they perform within the scope of your authorization — including modifying, publishing, or deleting surveys — or for the results. This does not apply where the cause is attributable to us, or where liability cannot be limited or excluded under applicable law.
11. Beta and preview features
Features we designate as beta, preview, or experimental are provided as-is for evaluation. We do not warrant their availability, continuity, accuracy, or support, and we may change or discontinue them without notice. You are responsible for the consequences of using such features for business-critical purposes.
12. Changes to and termination of the Service
We may change the Service to the extent this does not conflict with law or with our agreement with you. This includes changing or discontinuing the API, MCP, the AI models and their providers, the user interface, and usage limits. We do not warrant the continued availability of any particular external service, such as a specific AI model provider.
We will give prior notice of material changes by reasonable means. We may also discontinue all or part of the Service after giving reasonable prior notice. On discontinuation, we will allow a reasonable period to export data, as circumstances permit.
13. Suspension and restriction
We may suspend or restrict all or part of the Service, or terminate an account, if:
- you breach these Terms;
- payment cannot be confirmed;
- there is misuse, a security risk, or a risk of harm to third parties; or
- we need to respond to a legal requirement or a request from a court or public authority.
We will give prior notice where possible. Where there is a security emergency, or where prior notice is not permitted by law, we will notify you promptly afterwards to the extent reasonable.
14. Preservation of data
We apply reasonable safeguards including backups, but you should also keep your own copies of business-critical data using the export features the Service provides.
We do not guarantee recovery of data after termination, or after the retention periods set out in thePrivacy Policy have elapsed.
15. Disclaimer of warranties
The Service is provided "as is". To the extent permitted by law, we make no express or implied warranty as to the completeness, accuracy, or continuity of the Service, or its fitness for a particular purpose.
16. Limitation of liability
For business users, our liability is as follows.
- We are liable only for direct damages that would ordinarily arise.
- We are not liable for lost profits, lost business opportunities, damages arising from loss of or damage to data, or any other indirect, special, or consequential damages, even if we foresaw or could have foreseen them.
- Our aggregate liability is capped at the total fees for the Service actually received by us from that business user during the 12 months preceding the event giving rise to liability.
This section does not apply to damages caused by our intent or gross negligence, or to liability that cannot be limited or excluded under the Japanese Consumer Contract Act or other applicable law. Our liability to consumer users is governed by applicable law.
17. Indemnification
If a third party brings a claim, lawsuit, or other proceeding against us arising from any of the following, that business user will indemnify us for the costs and damages we incur, including reasonable attorneys' fees:
- the business user's breach of these Terms or of applicable law;
- unlawful or improper instructions the business user gives us;
- the business user's content (including surveys, materials, and the response data it collects);
- collecting or using personal data without a lawful basis; or
- infringing third-party intellectual property or other rights.
This indemnity does not cover the portion attributable to our breach of these Terms, or to our intent or gross negligence.
We will notify the business user promptly after becoming aware of such a claim. We may, at our option, take control of the defense and settlement of the claim, in which case the business user will cooperate reasonably. The business user will not enter into any settlement that imposes payment, an admission of liability, or another obligation on us without our prior written consent.
This section does not apply to consumer users.
18. Changes to these Terms
We may change these Terms for reasonable grounds, such as changes in law, changes to features or pricing, or security and operational needs.
We will notify you of the changed terms and their effective date in advance, by email to your registered address or by a notice within the Service. If you do not agree to a material change, you may cancel before the effective date. If you continue using the Service on or after the effective date, you are deemed to have agreed to the changed Terms.
19. Governing law and jurisdiction
These Terms are governed by the laws of Japan. Disputes between a business user and us relating to these Terms are subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
For consumer users, applicable law governs, including the mandatory provisions of the law of the consumer's habitual residence. This section does not restrict a consumer user's right to bring proceedings in a court available to them under applicable law.
